Secure Login

SYO software uses 256-bit secure logins that are more secure than what’s required at the Department of Defense. SYO employs security certificates to protect individual logins (and all other information transferred between your SYO site and those who use it). Certificates work by encrypting data. SYO can also allow login through your existing single sign on or VPN system.

Breakeven Analysis

For each grant, you can calculate the stock price at which individuals will not win or lose if they elect to exchange their equity. Participants almost always want to know this pivotal price. SYO takes out the guesswork by calculating the breakeven point for each grant or groups of grants that will be exchanged together.

Unlimited Equity Types

SYO is a convenient way to talk about equity exchanges in general. Our modeler is custom. We can help you exchange ISOs, NSOs, or SARs for new ones, performance options, restricted stock, RSUs, performance shares, performance units, cash… or any other type of compensation vehicle you choose. You name it, we’ve seen it.

Administrator Access

SYO software will make your life easier. You’ll get results. We provide administrator access where you can view custom reports (e.g. participation rates, login rates), trigger reminder e-mails, or download elections. Easy access to information allows you to adapt communication throughout the exchange period to ensure maximum understanding and exchange behavior.

Current Stock Price

SYO software will pull up-to-date stock price information from public sources on the internet (typically delayed 15 minutes).

Tender Offer Documents

Everything you put in writing has to be filed with the SEC as part of your Schedule TO. We provide a place where you can upload your Tender Offer documents so participants can easily find them without stumbling through public records on obscure websites.

Confirmation Page

After option holders make elections they see a printable confirmation page. Participants can request printed copies of their confirmations.

Reports Menu

Administrators see a reports menu when they log in. That menu is customized with reports that you select for your exchange.

Election Statistics

Option holders can change their elections at any point during the offering period. However, election statistics may help administrators decide when to send reminders and whether additional education may be helpful. In addition to collecting whether participants have elected to swap specific grants, election statistics also track whether participants have logged in and if they have logged in but have not made any elections.

Database Export

Once elections have been made, you can download the elections in any format that works for you – Excel, CSV, PDF. We’ll tailor them to your HRIS system.

Automated E-mail

E-mail messages will be sent to all participants at particular times or when certain conditions are met. It’s up to you. You can also set up e-mail that is sent when you say go. It’s custom.

Unlimited Swap Ratios

If you can define it, we can program it. We can customize the SYO software to meet your needs. No matter how many grants you have. Even if every one of them has a different exchange ratio.

Grant-by-Grant Elections

Just like every grant can have its own exchange ratio, you can allow participants to elect whether to swap each grant individually. You choose how to group the grants.

Election Page

Elections are made on the same page where participants model the potential value of the exchange and where the breakeven stock price is calculated. All the decision information they need is right in front of them. Good communication makes for better exchanges.
